1. Acceptance of Terms

By accessing or using the OptiMix platform and website (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

OptiMix provides a Bayesian Marketing Mix Modeling (MMM) platform that analyzes aggregated marketing spend data to produce statistical estimates of channel effectiveness. The Service includes the web application, API, reports, and associated documentation.

OptiMix does not provide legal, financial, or accounting advice. All outputs are analytical estimates based on your data and the selected model. Decisions based on OptiMix outputs are made at your own discretion and risk.

3. Account Eligibility

The Service is available to individuals and businesses aged 18 or older. You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and all activity under your account.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms
• Attempt to reverse-engineer, decompile, or extract the underlying model architecture
• Resell, sublicense, or share access credentials without prior written consent
• Upload data containing personally identifiable information (PII) beyond what is necessary for the Service
• Use the Service to make automated decisions materially affecting individuals without appropriate human oversight

5. Data & Privacy

Your use of the Service is governed by our Privacy Policy. You represent that any data you upload to OptiMix is lawfully obtained and processed in accordance with applicable data protection laws, including GDPR and CCPA where relevant.

6. Subscription & Billing

OptiMix offers subscription plans billed monthly or annually. All fees are non-refundable except as required by law. Subscription cancellations take effect at the end of the current billing period.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. OptiMix does not warrant that the Service will be uninterrupted, error-free, or completely secure. OptiMix outputs are statistical estimates — OptiMix does not guarantee their accuracy or applicability for any specific decision.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPTIMIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OPTIMIX'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO OPTIMIX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Modifications to the Service

OptiMix reserves the right to modify, suspend, or discontinue any part of the Service at any time. OptiMix may update these Terms from time to time. Continued use after any update constitutes acceptance of the updated Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which OptiMix's primary place of business is located. Any disputes shall be resolved in the competent courts of that jurisdiction.
